YouFon Account Registration Form Please read the following YouFon Usage Agreement carefully, and if accepted, please fill in and submit the following “YouFon User Registration Form”.

Article 1: Application “AI-FONE Inc. (hereinafter, “AI-FONE”) hereby defines the terms and conditions of this usage agreement (hereinafter, “Agreement”) as follows regarding the “YouFon service” (hereinafter “this Service”) provided to its users (hereinafter “Users”) of our Internet telephony service -“YouFon” (hereinafter, “YouFon”). This Agreement applies to all use of this Service, and Users agree to comply with these terms when using this Service. Article 2: Addition or modification of terms AI-FONE reserves the right to modify the terms without prior approval of the Users of this Service. In this case, conditions pertaining to this Service shall be subject to the modified Agreement. Article 3: Definition of terms Within this Agreement, these terms are used in the following manner: “VoIP” is an abbreviation of “Voice over Internet Protocol”, a technology that enables bidirectional voice transmission over the Internet. “Internet phone call” refers to VoIP-based telephone services. “PSTN or fixed phone” refers to standard phone services with wire connections to public networks. Article 4: Notification method AI-FONE notifications of requirements shall be sent to Users by e-mail, displayed on our Web page, or otherwise communicated in a manner deemed appropriate by AI-FONE. If the above notifications are sent by e-mail, AI-FONE shall send them to the e-mail address registered with AI-FONE by the Users, and delivery to the server hosting the User’s email address shall be deemed evidence of notification to the User. In the event that notification as per the first paragraph is made via a Web page, it comes into effect once AI-FONE displays the relevant notification details on the Web page, the User can access the relevant Web page and browse the relevant notification. Article 5: Telephone calls provided by this Service This Service shall provide voice phone calls to users within the areas specified as follows: Phone calls between Users of this Service (YouFon service) However, phone call quality is not guaranteed as this phone call service uses a system known as best-effort network Internet. Users accept the possibility of various problems such as delays or echoing with these phone calls. Article 6: Application units under this Service Initially, this Service applies to two “YouFon” accounts each comprising of a “YouFon No. and password”, subsequent to which additional auxiliary accounts may be purchased. Article 7: Use application Users who request this Service (hereinafter, “Applicants”) shall carefully check the application condition details specified in this Agreement and others specified separately, and submit their application as per the procedure specified by AI-FONE via the on-line sign-up. Application as per the prescribed procedure presupposes acceptance by the Applicant of this Agreement. Once Applicants become Users via the above procedure, said Applicants agree to abide by the terms of this Agreement. Article 8: Refusal of applications In the event that any of the following apply to an Applicant, AI-FONE may refuse to accept their applications. - An Applicant is not a “YouFon service” User, or the user ID presented by the Applicant and data input by the Applicant do not match. - Data input by an Applicant is false or fraudulent. - An Applicant’s contract with us (including associated services) was terminated or their User eligibility was revoked due to past violations of the YouFon Usage Agreement. - Provision of our service proves to be remarkably difficult for technical reasons. - Any other instance whereby AI-FONE determines that an Applicant is ineligible to be a User. AI-FONE reserves the right to suspend usage even after approval if it is later determined that any of the above apply to a User. Article 9: Modification of registered details In the event of any change to the User’s data details as registered on the application, such as the address, name, or e-mail address, the User shall immediately modify such data by themselves on the specified page on the YouFon server. AI-FONE is not responsible for any damage affecting the User or any third party, even if the service cannot be used due to failure to amend the above registration. Even if our notifications are not received due to a failure to reregister details as per the first paragraph above, Users shall accept without objection that it is defined as having arrived at the correct time. Article 10: Technical conditions pertaining to use of this Service System operating conditions required to use this Service are separately specified by AI-FONE. In addition to the above, operating conditions for the relevant system are subject to change as necessary based on the agreement between AI-FONE and its contractors and the instructions of the authorities concerned. Users must prepare their own equipment, software, Internet connection environment,etc. as required to use this Service under their own responsibility and expense prior to use of this Service. Article 11: Prohibition on transfer rights based on this Agreement The transfer of a User’s right to receive this Service provision based on this Agreement is prohibited. Article 12: Duty of Good Management of Rental Equipment When equipment is rented by AI-FONE to a User for this Service, the User shall maintain and manage the relevant rented equipment, and software and confidential data, etc. included therein (hereinafter, collectively referred to as “Rental Equipment”) with the care of a good manager. Users agree not to disassemble or otherwise remodel such Rental Equipment, and shall not use it for other purpose than described in the manual. The User shall only use the Rental Equipment at the specified location. In the event that it is used anywhere other than the specified location, the user shall take responsibility for its use by anyone other than the user. If Rental Equipment is used by anyone other than the user, all such use shall be defined as being by the User, and the User agrees that the articles of this agreement remain in force. The User shall not re-lend, lease, transfer, trade, or pledge any Rental Equipment. The User takes responsibility for any damage to, misuse of or third party use of the Rental Equipment while under the User’s supervision, and neither AI-FONE nor its contractors shall be liable except for any specific exclusion under this agreement. In the event that the Rental Equipment is stolen, or any abnormality is identified with use of the Rental Equipment, the User shall report that to AI-FONE directly and immediately, and then adhere to AI-FONE’s instructions, if any. Article 13: Suspension and cancellation of this service In the event that any of the following applies to a User, AI-FONE reserves the right to suspend or cancel their use of this Service without prior notification to the User concerned. - One of the disqualifiers listed in Article 8 is found. - AI-FONE determines that a User has contravened this agreement. - User is no longer eligible for “YouFon service”. - Illegal use of the system. - Interference in the operation of this service, or damage has been caused to our reputation or credit. - This Service was used in a manner that contravened other party’s copyrights or other rights, or in the manner in which these rights may be infringed upon. - This Service was used while infringing upon a third party or our assets or privacy, or in a manner in which they may be infringed. - This Service was used in a manner that offended public order and morality, or in violation of the law. - ID and password was used without authority. - Use of this Service was obtained through impersonation - Other cases for which AI-FONE determines that a User is ineligible. Users whose service contract is cancelled as per the above become liable to execute all their obligations to AI-FONE with immediate effect. In the event that AI-FONE or any third party suffers damage due to action taken by the User concerned above, even if the User is deemed ineligible, all legal responsibilities, such as compensation for damage, remain in force, and the User agrees not cause any trouble to AI-FONE. In the event that any of the following occur, AI-FONE reserves the right to suspend all or a part of this Service upon submitting a notice to the Users concerned, either in advance or after the fact. - Periodic or emergency maintenance checks, etc. of equipment needed to provide this service - Failure of equipment needed to provide this service - War, civil commotion, disturbance, electric power outage, fire, earthquake, volcanic eruption, flooding, tsunami, labor disputes, and other instances beyond the control of the operator that impede the provision of this service - Issuance of restriction / order by a governmental organization, or if the contracted companies stop or suspend services required for this service - If emergency communication takes priority for accident prevention or rescue, ensuring transportation, communication and electricity supply, or for other matters deemed in the public interest, such as communications needed to maintain order based on Article 8 of the Telecommunications Business Law. - In the event of substantial operational or technical reason for stopping this service. In the event that this service is suspended or canceled as per the above, AI-FONE will not be liable for any damage suffered by the User or others. Article 14: Protection of personal data AI-FONE shall comply both with legal requirements and AI-FONE’s own personal data protection policy, and will not disclose personal data acquired when a User submits an application, or data acquired by AI-FONE through use of this Service by the User (hereinafter, “Personal Data”) except in the following cases. - The User authorizes disclosure of their personal data in advance. - AI-FONE aggregates, processes, or discloses personal data in statistical form in such a manner that individuals cannot be identified in order to maintain the operational efficiency of this service. - Disclosure is a legal obligation. - In order to lend equipment under this agreement or perform business processes of AI-FONE’s contractors, the minimum data required for such services may be disclosed to subcontractors or contractors. - In the event that a search or confiscation is performed as a compulsory measure based on a warrant issued by judicial authorities, when inquiries are made by public organizations with legal investigative authority (e.g. Article 197-2, Criminal Procedure Law), or other cases where information must be provided based on legal provisions. - Emergencies in which there is an immediate danger to life or assets, etc. Article 15: Modification of service details AI-FONE reserves the right to modify the conditions, operation regulations, details, and name of this Service without prior notification to or acceptance from Users, and the Users accept such right. Such modifications include, but are not restricted to, all or some improvements or eliminations regarding these Service details and name. Notification and agreement for such modifications shall be made as per Article 4. Article 16: Cessation of service AI-FONE reserves the right to cease provision of all or a part of this Service after issuing a notification on its homepage, etc. in advance. Article 17: Exemptions Users accept in advance that the call quality offered by this service may be influenced by the User’s residential environment and connection speed, etc. AI-FONE does not guarantee that this service is devoid of fault, reliability, or usability, including with regard to call quality. AI-FONE does not take responsibility for provision, delay, modification, suspension, stoppage, cessation, or abolition of this service, disclosure or loss of data registered and provided through this service, or other damage to Users or third parties that occurs in relation to this service except for cases when separate provision exists, unless AI-FONE is culpable of intentional or gross negligence (excluding intentional or gross negligence on the part of AI-FONE’s contractors). Guarantees for Rental Equipment shall be restricted to those provided by their manufacturers, and AI-FONE offers no guarantees for their operation. Article 18: Governing law This agreement and the relationship between AI-FONE and Users based on this agreement shall be interpreted in accordance with Japanese law, including the Telecommunications Business Law. Article 19: Jurisdiction The court with jurisdiction over our head office address shall be defined as the court of first instance for any conflict pertaining to this agreement. This agreement is effective from January 1st, 2007.
